This contract is made on 1st day of January 2019, in between M/s. RT Network Solutions Pvt. Ltd. (Contractor) and Mr./Ms. _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _, (Sub-contractor) having PAN No. _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ and Aadhaar No. _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _
wherein, the Sub-contractor is engaged in a very crucial activity of providing invigilation services with full diligence. The following are to be adhered while doing the invigilation.

• The Sub-contractor should not be engaged in any malpractices. If found adopting in any sort of malpractice, the Contractor will immediately terminate the Sub-contractor, forfeit all the due payments and will take necessary legal action against him / her.
• If the principal imposes any financial penalty on the Contractor due to any sort of negligence or adopting malpractice, the same amount will be imposed back to back on the Sub-contractor and the entire amount will be recovered from him / her.
• The Sub-contractor by signing this contract document confirms that none from his / her blood relation or any relative is an employee working with the Principal Company (TCS). Further, he / she also undertakes to declare that in any exam, if any of his / her blood relation or relatives are appearing in the exam where he is doing the invigilation activity, he / she should inform the same to the Contractor and the Principal Company atleast 10 days prior to the scheduled date of the exam and will refrain himself / herself from the invigilation activity for those days only.

BACKGROUND:

• The contractor is of the opinion that the Service Provider has the necessary qualifications, experience and abilities to provide services in connection with the business of the Customer.
• The Service Provider is agreeable to providing such services to the Contractor, on the terms and conditions as set out in this Agreement. IN CONSIDERATION OF the matters described above and the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the parties to this

This agreement witnesseth as follows:

• Engagement:
  

  The Contractor hereby agrees to engage the Service Provider to provide the Contractor with supervision.

• Compensation:
  

  For the Services provided by the Service Provider under this Agreement, the Contractor will disburse the payment towards , " Supervision Charges for Assessment " to a maximum amount of Rs. 5,00,000.00 (Rupees five lakhs only) over a period of 1 year. Payment is due upon presentation of invoice.

• Return of Property:
  

  Upon the expiry or termination of this Agreement, the Service Provider will return to the Contractor any property, documentation, records, or confidential information which is the property of the Contractor.

• Client Assets Policy:
  

  Service providers are prohibited from installing unauthorized / illegal software on Client provided assets. The use of the asset for personal requirements is strictly prohibited and security violation of the same will be deemed as offence and the Company will initiate legal action against such invigilator. Any such incident if come to notice will lead to immediate termination of the stakeholder(s).

• Duty Acceptance:
  

  The invigilators have to confirm their acceptance or rejection of the call at the very first attempt. Once the call is accepted, the invigilator cannot deny the call thereafter. In case of emergency, the invigilators need to inform their respective project managers 24 hrs prior to the rejection of the call with specific reason. Invigilators will be held solely responsible for any disorder at examination centre on the day of the exam.

• Compliance To All Clauses:
  

  You will be required to fulfill all the terms and condition mentioned in this letter of engagement. Any failure to fulfill any term and /or condition would entitle "RT Network Solutions Pvt. Ltd." in withdrawing this contract agreement at its sole discretion.

• Termination Of Services:
  

  If at any time during the course of this Contract, you engage in any act that is illegal or in violation of the Rules / Policies of the Client, you will be terminated without notice. In the event of the inconsistency of the agreement or any other security violation or unauthorized activity, the same will be deemed as offence and Company will initiate legal action against such invigilator.

• Violation of Contract:
  

  Any candidate enrolled with the company for invigilation and as Support staff will be entitled to the below clause:

  • The candidate cannot serve any other company and vendor engaged in the similar work profile (Conduction of Online Examination) until the proper resignation is submitted and accepted by the HR of the company.
  • The candidate shall not indulge in any association with the competitor company within the duration of 3 years after leaving the organisation.
  • The candidate shall be liable in any case of involvement with the client (TCS) of the company within the 3 years of their resignation with RT Network Solutions Pvt. Ltd.
  • The candidate shall be liable for a legal action against them in case of violation of any above point.
• Declaration:
  

  You are hereby to declare that you cannot participate in any competitive or Government exams organized by iON during the course of your engagement as Invigilator. Similarly, if you or any of your relative is appearing for any particular exam, you cannot be Invigilator for the duration of that particular exam. Violation of these norms will lead to termination of your service with immediate effect. You agree that you will not engage in any act subversive of discipline in the course of your duty/ies for the Client either within the Client’s organization or outside it, and if at any time is found indulging in such acts, the Company shall reserve the right to initiate any legal or disciplinary action as is deemed fit, against me.

• Notice:
  

  All notices requests, demands or other communications required or permitted by the terms of this agreement will be given in writing and either served personally, by email, by facsimile or by registered mail. The address for any notice to be delivered to any of the parties to this Agreement is as follows:

  • RT Network Solutions Pvt. Ltd., Eco Centre, Block EM, Plot no. 4, 6th Floor, Suit No 0614, Sector V, Salt Lake City, Kolkata 700091 (Contractor)

  Or to such other address as to which any party may from time to time notify the other.

• Capacity/Independent Contractor It is expressly agreed that the Service Provider is acting as an independent contractor and not as an invigilator in providing the Services hereunder. The Service Provider and the Contractor acknowledge that this contract does not create a partnership or joint venture between them.

• Entire Agreement:
  

  It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressed in it.

• Currency:
  

  Unless otherwise provided for, all monetary amounts referred to herein will be paid in Indian Rupees.

• Indemnity Clause:
  

  Each Party (Indemnifying Party) agrees to assume responsibility for, indemnify, hold harmless, and defend the other party and its officers, directors, invigilators, representatives and agents (Indemnified Party) from and against any and all liabilities, loss or damages that they may suffer as a result of any claim, demand, lawsuit, cost or judgment against them arising out of the gross negligence or willful misconduct of Indemnifying Party and/or its personnel. In the event that Indemnified Party seeks indemnification from Indemnifying Party, it shall provide Indemnifying Party written notice regarding the allegations against Indemnified Party promptly upon becoming aware of such allegations. The Indemnifying Party shall pay any compromise, settlement or final judgment entered against Indemnified Party with respect to any claim and fully indemnify the Indemnified Party in respect to all costs and expenses relating to the claim provided that the Indemnified Party: (i) notifies Indemnifying party in writing of the claim immediately on becoming aware of it; (ii) grants sole control of the defense of the claim to the Indemnifying Party; and (iii) gives Indemnifying party complete and accurate information and full assistance to enable Indemnifying Party to settle or defend the claim.

• Governing Law:
  

  It is the intention of the parties to this Agreement that this Agreement and the performance under this Agreement, and all suits and special proceedings under this Agreement, be construed in accordance with and governed, to the exclusion of the law of any other forum, by the laws of West Bengal / India, without regard to the jurisdiction in which any action or special proceeding may be instituted.

• Cancellation:
  

  The contractor can cancel this agreement anytime without any notice in case of non-performance, absenteeism, mal practice or any such cause which the contractor feels is detrimental towards the services offered.

UNDERTAKING

I do here by solemnly affirm and declare that all information and particulars furnished to RTNS here by me are true and correct to the best of my knowledge. I further declare that while conducting and facilitating the assessment I shall adhere to the following rules and practices:

• I shall not adopt any malpractices, causing any disorder/disturbance to the assessment.
• I shall not get involved in any corrupt practices or transactions, hampering the assessment.
• I shall not get involved in any transaction, activity which shall cause any kind of disruption to the assessment.
• I shall uphold to the highest standard of moral and ethical human values to ensure the smooth and defect free assessment.
• I shall ensure that the assessment is conducted as per the Standard Operations Procedures and instruction; training provided to me and use my best judgment and knowledge for systematic carrying out of delivery of assessment to the candidates and to the customer.
• I shall behave in an orderly manner with the Client representatives and the candidates appearing for the assessment and uphold the dignity and reputation my organization and the client.
• I hereby agree and confirm that I shall adhere to the policies, rules, procedures and practices either written or otherwise in general practices, required for successful conduct of this assessment.
• I have undergone the necessary requisite training and guidelines for the successful conduct of the assessment.
• I confirm that there are no candidates known to me in any form either related by blood or otherwise appearing in this assessment are taking examination at the given centre assigned to me.
• I do hereby give the authority to RTNS and their client that, if I’m caught adopting any sort of malpractices, they are free to take necessary legal action against me.
• I confirm that I shall furnish and be available for any necessary information required by the client with respect to conduct of the examination.
• I hereby declare that I am not appearing in the aforesaid examination as a candidate on any of the dates.
• I hereby declare that I have read the “INSTRUCTION”, and will strictly follow the same.

Rules to be followed

• Once the confirmation given no backout will be allowed without any genuine reason.
• For male formal wear, for female kurti leggings or dress mandatory (No jeans, sport shoes, messy hair, heavy makeup, sleeveless strictly not allowed).
• Original ID Proof need to carry & must reach on time, late comers will be sent back or will deduct amount from shift payout.
• Do not forget to sign on register or on attendance sheet shared by supervisor.
• If any of the invigilator is going to appear in any of the exam to be held in the Test Center he / she will not be allowed to do invigilation only for that particular exam.
• Once zone is allotted except break should not seen out for any other reason.
• Without role tag none of the invigilator shall enter in Zone.
• Make sure all systems are launched as per instruction.
• Mobile phone, electronic machines must be kept in bag or to be handed over to the concerned person.
• For food, meeting room is allowed to use not canteen or any other place. Use rough sheet while having the lunch.
• During exam make sure that all the candidates’ bio-metric and attendance process is completed.
• No cross talk or malpractice is allowed (Cheating or copy), during exam invigilators have to be on round (Cannot stand or sit besides candidates).
• All the information are confidential, it is strictly prohibited to share or misuse (serious action will be taken).
• In exam permission, cross talk or misbehavior with any of female invigilators or candidates will not be allowed.
• After exams are over, don’t forget to collect rough sheet and call letter, without that candidate should not leave the zone.
• Once the exam process is over ensure all the Systems are shut down, without launch out and shut down, none of the invigilator is allowed to leave the zone.
• Ensure Roll tag is handed over to supervisor or IT Manager or kept in server room.
• No photography, abusing word allowed in Exam Center.

Roles & Responsibilities

Pre Assessment:

• Undergo Invigilator Training and Certification Test and hold a valid certificate when being considered for duty.
• Undergo the required training on candidate registration process and assessment process as per each project requirement.
• Collect the required stationary Eg: Pen/Pencil/Rough sheets, Assets Eg: Biometric Devices (as applicable), from Test Center Owner.

On the Assessment day:

• Reach the Test Center Venue at instructed time (Exam Specific) to review all arrangements.
• Prepare the test center lab for the assessment.
• Setup the launcher in each of the candidate machine after the IT Manager has setup the iAEC server.
• Ensure that partitions are available for all candidate machines.
• Ensure the availability of biometric registration desk set up at the test center lab (if applicable).
• Ensure that the webcam is installed at a level where it can clearly capture the face of the candidates (if applicable).
• Ensure Drive Manager is setup in each Lab.
• Ensure that candidates do not carry any restricted items such as mobile phones, electronic devices, calculators etc., into the Lab.
• Ensure that each candidate has completed biometric registration before being seated in their assigned machines.
• Distribute the required stationary Eg: Pen/Pencil/Rough sheets, as applicable, to each of the candidate present in the Lab.
• Read out the candidate instructions in the lab 10 minutes prior to the first login time (as applicable).
• Capture candidate’s signature/thumb impression (as applicable) on the attendance sheet during the assessment.
• Collect required documents (as applicable) from the candidates, tally the number of documents collected with the actual number candidates present in the lab and hand them over to the Center Owner.
• Ensure that there is no malpractice by the candidate or between candidates.
• Is prompt and shows urgency in resolving queries
• Is vigilant and is moving around the labs at all times
• Uses Drive Manager to unlock candidates as and when required
• Checks the completion of exam for all candidates as they leave the labs

Post Assessment:

• Collect back all the rough sheets from each candidate before they are allowed to leave the lab.
• Ensure that the allocated Assets (Biometric devices, etc.,) from their respective labs are handed back to the Test Center Owner in proper condition.
• Ensure all the candidate machines are logged off after all candidates have left the lab.
• I have read and understood the entire document. I do not have any constraints, reservation or any compulsion to sign this document. I further agree to the clauses stated herein above and shall ensure the adherence to the same before, during and post assessment of the said examination. I agree.
